RowSherpa Terms of Service

These Terms of Service (“Terms”) govern your access to and use of RowSherpa, an AI-powered data classification and enrichment service (the “Service”) operated by Positronic, a French limited liability company (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

Service: The RowSherpa platform, interfaces, APIs, and related features.
User: A person or entity using the Service.
Content: All data, files, inputs, and results uploaded or generated through the Service.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, RowSherpa grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes, personal or academic use or as part of the work you provide to your clients - only during your subscription term.

3. Eligibility

You must be at least 18 years old and have legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

4. Accounts & Credentials

You are responsible for maintaining the confidentiality of your account credentials and API keys. All activity under your account is your responsibility. You must not share credentials publicly or misuse the Service.

5. Subscription Plans & Billing

RowSherpa is offered under subscription plans with defined usage limits (e.g., rows processed, tokens consumed). Fees are charged in advance and are non-refundable. We may modify pricing and plans with reasonable notice.

6. Acceptable Use & Restrictions

You agree not to:

Use the Service for unlawful, infringing, harmful, or abusive activities.
Violate applicable laws or regulations, including data protection laws.
Attempt to reverse engineer, decompile, or disrupt the Service.
Abuse rate limits or quotas.
Upload data that is not yours to process.

We may suspend access for violations of this Section.

7. Intellectual Property

All rights, title, and interest in and to the Service (excluding your Content) remain with Positronic or its licensors. You retain ownership of your uploaded data. By uploading Content, you grant us a worldwide license to use and process it as necessary to provide the Service. No rights are transferred to you beyond the limited license to use the Service.

As between you and Positronic, you retain all rights, title, and interest in the outputs generated from your Content. Positronic does not claim ownership over such outputs.

You grant Positronic a limited, non-exclusive license to process, store, and transmit outputs solely as necessary to provide and improve the Service.

8. User Data & Outputs

You own all data you upload. Result files and outputs are stored temporarily; you may delete them at any time. We may automatically delete stored files after a reasonable retention period subject to operational and legal requirements.

9. Third-Party Providers

The Service may integrate with third-party providers (e.g., OpenAI, Stripe, Cloudflare). Your use of these services is subject to their respective terms and policies.

10. Warranties & Disclaimers

AI-Generated Outputs Disclaimer The Service relies on artificial intelligence models and third-party data sources. Outputs are generated probabilistically and may be inaccurate, incomplete, or misleading. The Service does not guarantee the correctness, completeness, or suitability of any output. You acknowledge that outputs should not be relied upon as a sole source of truth and must be independently reviewed before use in business, legal, financial, or operational decisions.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSITRONIC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOSS OF DATA, REVENUE, OR PROFITS. TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Positronic and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms. Upon termination, your right to use the Service ceases and certain provisions (e.g., IP rights, indemnity, liability) survive. We may delete stored Content following termination, subject to our retention policies.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of France. Any dispute shall be subject to the competent courts of France.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via the website or email, and continued use constitutes acceptance.
